1. Scope
These Terms govern the GRIDORA AUTOTRADER software, including the PC app and any web version (the “Software”), distributed by NYC Capital Asia Inc. (the “Company”). Installing, running or purchasing the Software means you accept these Terms.
2. Nature of the Software
The Software is a tool you run yourself on your own device. Based on your settings it sends transactions from your wallet, including a session account, to decentralized exchange smart contracts. The Company does not hold your assets or private keys, does not broker, arrange or execute trades, and is not a counterparty. It provides no investment advice, solicitation or asset management; strategies, presets and displays are tool functions, not advice. The Software is compatible with Uniswap v3 and PancakeSwap v3 and is not affiliated with or endorsed by Uniswap Labs, PancakeSwap or Jupiter.
3. License

4. No profit guarantee
The Company does not guarantee any profit, return or win rate. Past performance, backtests, paper-trading results and win rates do not indicate future results; a high win rate can still mean a net loss. You may lose all funds you commit.
5. Risks you accept
Market risk; limits of protective features (stop-loss, daily loss limit and emergency liquidation are not guaranteed and may fill worse than set or not at all); the Software works only while running on your device; technical risk from smart contracts, exchanges, wallets, RPC nodes, market data and software defects; costs including gas, fees, slippage, MEV and price impact; exposure of assets deposited to the session account or covered by wallet permissions; token risk; and regulatory risk. 6. Your responsibilities
You are responsible for the security and backups of your wallets, session key and devices; the Company cannot recover keys or assets. Never enter your main wallet’s recovery phrase or private key into the Software or give it to anyone. You decide all settings and bear trade outcomes, taxes, and compliance with the laws where you live. Use is prohibited in restricted regions and for sanctioned persons.
7. Availability, updates and support
The Software is provided “as is”, with no promise of uninterrupted operation or continued support of any exchange, chain or wallet. Support never requires access to your wallet or assets. [Support channel and response target.]
8. Fees and refunds

9. Termination
